1.2 “Client”, “you” or “your” refers to any individual, company or organisation engaging CPD Media to provide services.
1.3 “Services” means any marketing, website, SEO, branding, advertising, consultancy, photography, videography, social media management, software development, hosting or other digital services supplied by CPD Media.
2. Acceptance
2.1 By accepting a quotation, proposal, invoice, making payment, instructing CPD Media to commence work or continuing to use our services, you agree to be bound by these Terms and Conditions.
2.2 These Terms and Conditions form the entire agreement between CPD Media and the Client unless otherwise agreed in writing.
3. Quotations
3.1 Quotations remain valid for 30 days unless otherwise stated.
3.2 Any work requested outside the agreed quotation or proposal shall be chargeable.
3.3 Additional work requested after commencement may be quoted separately.
4. Payments & Invoices
4.1 All invoices must be paid in full by the due date shown on the invoice.
4.2 Payment shall be made using the payment method specified on the invoice.
4.3 Time for payment is of the essence.
4.4 Failure to make payment may result in the immediate suspension of services without notice.
4.5 Interest may be charged on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
4.6 The Client shall be responsible for any reasonable legal costs, debt recovery costs or collection fees incurred in recovering unpaid invoices.
4.7 Suspension of services due to non-payment shall not remove the Client’s obligation to pay outstanding invoices.

6. Termination
6.1 Either party may terminate a monthly agreement by providing a minimum of 30 clear calendar days’ written notice.
6.2 Notice must be provided by email or letter.
6.3 Notice shall only commence from the date written notice is received by CPD Media.
6.4 The Client remains liable for all fees falling due during the notice period.
Example
If an invoice is issued on 10 January 2026 and the Client provides written notice on 25 January 2026, the 30-day notice period expires on 24 February 2026.
As the monthly invoice due on 10 February 2026 falls within the notice period, that invoice remains payable in full.
The agreement would then end on 24 February 2026, with no further monthly invoices becoming due after the expiry of the notice period unless additional work has been instructed.
6.5 The Client may continue to receive services during the notice period unless otherwise agreed.
